Terms of Service for NeighborFlow

Welcome to NeighborFlow (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the NeighborFlow website, mobile-friendly application, and related services (collectively, the “Service”) for coordinating service projects, volunteer sign-ups, reminders, and tracking.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Our Service

NeighborFlow is a platform that helps organizations (such as faith communities, nonprofits, schools, neighborhoods, or community groups) create service projects, manage volunteer sign-ups, send reminders, and track participation. The Service is provided “as is” and is intended for lawful, positive community service activities.

2. Eligibility and Accounts

  • You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
  • You may create an account using your phone number, email, or other supported methods.
  • You are responsible for maintaining the confidentiality of your account and for all activities that occur under it.
  • Organizations may designate leaders/admins with additional permissions. Only authorized admins may create or manage projects on behalf of an organization.
  • You agree to provide accurate information and keep it updated.

3. User Responsibilities and Acceptable Use

You agree to use the Service only for its intended purpose: coordinating positive service and volunteer activities.

You agree not to:

  • Use the Service for any illegal, harmful, or fraudulent activity.
  • Post content that is abusive, harassing, discriminatory, or offensive.
  • Share contact information or data outside your organization without permission.
  • Attempt to gain unauthorized access to any part of the Service or other users’ data.
  • Send unsolicited bulk communications.
  • Scrape, copy, or reverse-engineer any part of the Service.

We reserve the right to remove content, suspend accounts, or terminate access for violations of these Terms.

4. Organizations and Data Ownership

  • Each organization controls its own projects, sign-ups, and service history.
  • Data is isolated by organization using technical safeguards. Members of one organization cannot access another organization’s data.
  • You grant us a limited, non-exclusive license to host, display, and process your content solely as needed to provide the Service.

5. Subscriptions and Payments

  • Certain features require a paid subscription (e.g., $5 per month for Small Community or $30 per month for Large Community, or other plans we offer).
  • Payments are processed securely via Stripe.
  • Subscriptions automatically renew unless canceled.
  • You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds for partial months unless required by law.
  • We may change pricing with notice. Continued use after changes constitutes acceptance.

6. SMS and Communications

  • The Service may send SMS/text reminders and notifications. Standard carrier rates may apply.
  • You consent to receive these messages when you provide your phone number.
  • You may opt out of non-essential messages in your account settings or by replying “STOP” to any message. Essential service messages (e.g., account security) cannot be fully opted out.

7. Intellectual Property

  • The Service, its design, logos, and underlying code are owned by NeighborFlow and protected by copyright and other intellectual property laws.
  • You may not copy, modify, distribute, or create derivative works of the Service without permission.

8. Termination

  • You may stop using the Service and delete your account at any time.
  • We may suspend or terminate your access for violation of these Terms, non-payment, or prolonged inactivity.
  • Upon termination, your right to use the Service ends, but sections that by nature should survive (liability, indemnification, etc.) will continue.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE FULLEST EXTENT PERMITTED BY LAW, NEIGHBORFLOW AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold NeighborFlow harmless from any claims, losses, or damages arising from:

  • Your violation of these Terms,
  • Your content or activities within an organization,
  • Any disputes between members of your organization.

11. Governing Law

These Terms are governed by the laws of the State of Utah, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Salt Lake City, Utah.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms and updating the effective date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
